n9agents is an AI agents platform that allows you to:

• Create AI-powered chatbot agents with custom personalities
• Connect agents to third-party services via integrations
• Manage workspaces with todos, notes, expenses, and other data
• Deploy agents publicly or privately

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Send spam, phishing, or unsolicited messages
• Harass, abuse, or harm others
• Generate illegal, harmful, or deceptive content
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Service
• Scrape or collect data without authorization
• Resell access to the Service without permission

5. Third-Party Integrations

• You authorize us to access and interact with these services on your behalf

• We are not responsible for third-party service availability or changes
• You can disconnect integrations at any time

You retain ownership of content you create, upload, or generate through the Service ("Your Content"). This includes agent configurations, prompts, and data in your workspace.

You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely to provide and improve the Service.

6.3 Responsibility

You are responsible for Your Content and ensuring it does not violate these Terms or applicable laws.

7. Intellectual Property

The Service, including its design, features, and technology, is owned by n9agents and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or alter proprietary notices
• Use our trademarks without permission

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

9. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N9AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from AI-generated content
• Third-party service failures or data breaches

Our total liability shall not exceed the fees you paid in the 12 months preceding the claim, or $100 if no fees were paid.

13. Indemnification

You agree to indemnify and hold harmless n9agents and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your Content or AI agent outputs
• Your violation of these Terms
• Your violation of third-party rights

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be:

• First attempted to be resolved through good-faith negotiation
• Subject to binding arbitration if negotiation fails
• Governed by the laws of the jurisdiction where n9agents operates

You waive any right to participate in class action lawsuits.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Continued use of the Service after changes constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and n9agents
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign your rights without our consent
